    Conference report makes the following changes to the 3rd edition.

    Part IV

    Deletes the proposed changes to the Board of Transportation (BOT) membership set forth in GS 143B-350 and instead amends the statute as follows. Changes the start of a member's term of office from July 31 to July 1 of the year of appointment. Provides for 14 members to be appointed by the NCGA with recommendations split between the President Pro Tempore and and the Speaker of the House, and six at-large members appointed by the Governor (currently, 14 division members are appointed by the Governor and six at-large members are appointed by the NCGA). Requires legislative recommendations to comply with GS 120-121. Eliminates references to the 14 highway divisions and instead refers to seven distribution regions, defined by GS 136-189.10(1). Provides for initial legislative appointments by distribution region, with terms beginning in 2023 and 2025 as specified. Provides for gubernatorial appointments to begin in 2023. Terminates terms of members serving prior to July 1, 2023, on June 30, 2023. Requires appointment of a new board of 20 voting members with terms beginning July 1, 2023. Places authority to select a chair with the board (was, the Governor).

    Provides for legislative appointment of members from specified distribution regions for two-year terms, beginning July 1, 2023. Specifies replacement of identified highway division members with distribution region members appointed pursuant to GS 143B-350(d), as amended.

    Effective July 1, 2023.

    Part VIII

    Modifies and adds to the changes to the board of directors of the UNC Health Care System (board) set out in GS 116-37 as follows. Increases membership of the board from 24 to 25 members by increasing ex officio members from four to five. Now includes as ex officio members two individuals designated by the Chief Executive Officer who meet four specified criteria, including membership of the executive staff of the UNC Health Care System, as specified (replacing the previously proposed requirement of the President of UNC Hospitals as an ex officio member). Now requires 12 at-large members to be appointed by the President of UNC and confirmed by the Board of Governors (BOG), with the President appointing a slate of three members for confirmation (previously proposed 12 members appointed by the BOG after consultation with the President of UNC, with the BOG appointing three members annually). Adds to the disqualifications of at-large members, barring individuals required to register as lobbyists under GS Chapter 120C for two years immediately preceding the effective date of appointment, on the effective date of the appointment, and at any point during the term of appointment. Adds provisions regarding vacancy appointment, requiring legislative appointments to be filled pursuant to GS 120-122, and appointments by the President of UNC to fill vacancies to be confirmed by the BOG. Adds a new provision deeming an at-large member's seat vacant upon failure for any reason other than ill health or service in the interest of the State or nation to be present for three successive regular meetings of the board. Enacts three operating principles for the board regarding members acting as fiduciaries of the UNC Health Care System, the limited and collective authority of members, and ethical standards required of members. Makes technical changes.

    Changes the date of expiration of the terms of ex officio board members to the date the act becomes law (was, July 1, 2023). Changes the beginning date for terms of members appointed to be made in 2023, for terms ending in 2026 and 2027, to the date the act becomes law (was, July 1, 2023). Makes conforming changes to the provisions regarding initial appointments of members by the President of UNC and confirmed by the BOG in 2023 through 2026.

    Part X

    Adds the following new content. Amends the appointment of commissioners to the Utilities Commission (Commission) set forth in GS 62-10 as follows. Decreases membership from seven to five commissioners, with three members appointed by the Governor upon confirmation by the NCGA and two members appointed by the NCGA pursuant to GS 120-121 (regarding recommendations for appointment) by the President Pro Tempore and the House Speaker (currently, seven commissioners appointed by the Governor with confirmation by the NCGA). Sets terms of commissioners to six years, beginning on July 1 and ending on June 30. Provides that upon the Governor's failure to submit a slate of names of commissioners to be appointed to the NCGA be May 1 of the year in which terms expire, the President Pro Tempore (was, the Lieutenant Governor) and the House Speaker must jointly submit names of commissioners to the NCGA by May 15 for NCGA confirmation. Makes conforming changes to the procedure for filling vacancies of commissioners appointed by the Governor. Changes term of chair from four-years to three-years. Adds that in case of death, incapacity, or vacancy for any other reason in the office of any commissioner appointed by the NCGA prior to the expiration of a term, the vacancy must be filled pursuant to GS 120-122. Makes technical and conforming changes.

    Specifies that two of the tree terms expiring on June 30, 2025, are not to be filled with additional appointments in order to decrease the number of commissioners to five. Deems terms of commissioners now serving to expire at the conclusion of the term for which they are appointed. Provides for staggered appointments upon expiration of terms expiring in 2023-27, with legislative appointments to be made for terms expiring in 2023, and the Governor to appoint commissioners for the terms expiring in 2025, 2027, and 2029.

    Part XI

    Eliminates the proposed legislative appointment procedure for the UNC BOG in GS 116-6 to instead amend the existing election process as follows. Now provides for election of 12 members by House resolution, with six members elected at the regular session of the NCGA in 2025 and every two years thereafter, and election of 12 members by the Senate, with six members elected at the regular session of the NCGA in 2025 and every two years thereafter. Sets forth a procedure for the Senate's election of members from a slate of candidates prepared pursuant to Senate resolution. Makes technical and conforming changes.

    Deletes the proposed changes to GS 116-6.1 (student members of BOG); GS 116-7 (general provisions concerning BOG members); and GS 138A-24 (regarding economic interest statements of BOG nominees).

    Eliminates provisions providing for four additional NCGA appointments of BOG members in 2023, and the provisions providing for filling of vacancies for seats elected and filled on or after the effective date of the act.

    Part XII

    Adds the following new content. Enacts GS 116-31.5 (concerning the NCSU Board of Trustees) and GS 116-31.7 (concerning the UNC Board of Trustees), establishing membership requirements for each Board. Sets membership of each Board at 15, with eight members elected by the BOG, six members appointed by the NCGA, three each upon recommendation of the President Pro Tempore and the House Speaker, with the respective president of the student government serving as an ex officio member. Provides for legislative appointment of two members beginning July 1, 2025, and four members beginning July 1, 2027, and every four years thereafter each appointment. Deems the provisions governing boards of trustees of constituent institutions in GS 116-31 to apply to each Board except as specified. Makes conforming changes to GS 116-31.

    Requires legislative appointment of two additional members to each Board to terms beginning on the date of appointment and expiring June 30, 2027, which will not count toward a full four-year term under GS 116-31, with appointments made upon recommendations of the President Pro Tempore and the House Speaker pursuant to GS 120-121.

    Deletes Part I to the act, which would have amended GS 62-10 to reduce the number of commissioners on the NC Utilities Commission from proposed change of nine to five, with the appointing authorities designated as follows: two by the Governor; one by the General Assembly, upon the recommendation of the Speaker of the House of Representatives; one by the General Assembly, upon the recommendation of the President Pro Tempore of the Senate; and one by the State.  Renumbers remaining parts of the act to account for deleted Part I.

    Part IV

    Ends the terms of the current members serving on the NC Board of Transportation (BOT) from the date of expiration of their four-year terms under GS 143B-350 to an end-date of June 30, 2023, regardless of when the member’s term began. Sets forth a new initial BOT appointment schedule as follows:

    • The General Assembly will appoint Highway Division 1, 2, 3, 4, 5, 6, 7, 9, 12, and 14 BOT members, with terms to run from July 1, 2023, through June 30, 2025. Five of these appointments will be made upon recommendation of the President Pro Tempore of the Senate and five upon recommendation of the Speaker of the House of Representatives.  
    • The General Assembly will appoint Highway Division 8, 10, 11, and 13 BOT members, with terms beginning on July 1, 2023, and expiring on June 30, 2027. Two of these appointments will be made upon recommendation of the President Pro Tempore of the Senate and two upon recommendation of the Speaker of the House of Representatives.

    (Previously, the General Assembly had three separate ways to appoint BOT members: (1) it would have appointed Highway Division 1, 3, 6, 9, 12, and 14 board members from the six division appointments expiring in 2024. Three of these appointments would have been made by the Senate and three by the House; (2) it would have appointed Highway Division 2, 4, 5, 7, and 8 board members from the five at-large appointments expiring in 2024. Three of these appointments would have been made by the Senate and two by the House; and (3) it would have appointed Highway Division 10, 11, and 13 board members from the remaining two division appointments expiring in 2026 and the one at-large appointment expiring in 2026. One of these appointments would have been made by the Senate and two by the House.)

    • The Governor will now appoint six at-large BOT members, with terms beginning July 1, 2023 and expiring June 30, 2027. (Was, the Governor would have appointed six at-large board members from the eight division appointments expiring in 2026.)

    Now specifies that the act’s amended appointment framework under GS 143B-350 will begin on July 1 after the amended initial terms. Effective July 1, 2023.

    Makes clarifying change to the effective date.

    Part IX

    Changes the biennial election process of the UNC Board of Governors (BOG) under GS 116-6 by the Senate and the House to an appointment process to begin in 2025 and 2027, respectively, as follows. Beginning July 1, 2025, and every four years thereafter, the General Assembly will appoint members of the Board of Governors as follows: (1) seven members appointed by the General Assembly upon the recommendation of the President Pro Tempore of the Senate, in accordance with GS 120-121 and (2) seven members appointed by the General Assembly upon the recommendation of the Speaker of the House of Representatives, in accordance with GS 120-121. Beginning July 1, 2027, and every four years thereafter, the General Assembly will appoint members of the Board of Governors as follows: (1) seven members appointed by the General Assembly upon the recommendation of the President Pro Tempore of the Senate in accordance with GS 120-121 and (2) seven members appointed by the General Assembly upon the recommendation of the Speaker of the House of Representatives in accordance with GS 120-121. Increases the number of voting members on the BOG from 24 to 28. Makes clarifying change to term of chair of the BOG. Makes language gender neutral. Makes conforming and organizational changes. Makes conforming changes to GS 116-6.1 (student member of BOG) and GS 138A-24(f) (evaluation of BOG statements of economic interest) to account for new number of members to BOG or appointment process. Makes conforming changes to GS 116-7 (general provisions concerning members of the BOG) and provides that vacancy appointments will be made by the General Assembly in the same manner as required for appointment under GS 116-6(a) for the remainder of the term of office.

    Repeals GS 116-5 (setting forth initial election of members to the BOG).

    Specifies that the General Assembly will appoint four additional members to the BOG as follows: (1) two members appointed to two-year terms beginning July 1, 2023, and expiring June 30, 2025. One appointment will be upon the recommendation of the President Pro Tempore of the Senate and one appointment will be upon the recommendation of the Speaker of the House of Representatives. Specifies that the initial two-year term will not count toward the three-term limit established in GS 116-6(e) and (2) two members appointed to four-year terms beginning July 1, 2023, and expiring June 30, 2027. One appointment will be upon the recommendation of the President Pro Tempore of the Senate and one appointment will be upon the recommendation of the Speaker of the House of Representatives.

    Provides that members elected to the BOG as of the effective date of the act will serve the remainder of the terms. Provides that if a vacancy arises amongst the elected members filled on or after the effective date will be filled for the remainder of the term by appointment upon the recommendation of either the Speaker of the House of Representatives or the President Pro Tempore of the Senate, depending on which chamber elected the vacating member.

    Senate amendment to 1st edition makes the following changes.

    Part I

    Amends GS 62-10 as follows. Reduces the number of commissioners on the NC Utilities Commission from proposed change of nine to five, with the appointing authorities designated as follows: two by the Governor, one by the General Assembly, upon the recommendation of the Speaker of the House of Representatives, one by the General Assembly, upon the recommendation of the President Pro Tempore of the Senate, and one by the State. Changes the end-date of each commissioner’s six-year term from July 1 to June 30.  Removes language setting forth an appointment schedule to increase the number of commissioners and instead specifies that two of the three terms expiring on June 30, 2025, will expire and no additional appointments for those terms will be made. Allows the State Treasurer to appoint the remaining 2025 vacancy.

    Part V

    Amends GS 143B-350, pertaining to the composition of the Board of Transportation, to specify that each highway division will have at least one voting member that is a resident of that highway division appointed either by the President Pro Tempore of the Senate or the Speaker of the House (was, President Pro Tempore of the Senate and the Speaker of the House each appointed seven members).

    Part VII

    Amends GS 143-242 (pertaining to vacancies by death, resignation, or otherwise on the NC Wildlife Resources Commission [WRC]) to specify that appointments to fill vacancies appointed by the Commissioner of Agriculture will be made by that commissioner for the balance of the unexpired terms of a member from the State at large.  Makes conforming and technical changes to the effective date.

    Changes the effective date of the act to when it becomes law instead of July 1, 2023. Makes conforming changes to the effective dates in Parts II and IV.

    Part I

    Transfers the NC Utilities Commission (Commission) from the Department of Commerce to the Department of the State Treasurer (DST). Specifies that the Commission will be administratively located in DST but exercise its prescribed statutory powers independently.

    Amends GS 62-10 (pertaining to the composition of the Commission) as follows. Changes the number of commissioners from seven to nine.  Reduces the number of commissioners appointed by the governor from seven to four. The remaining commissioners will be appointed as follows: two by the General Assembly, upon recommendation of the Speaker of the House, two by the General Assembly, upon recommendation of the President Pro Tempore of the Senate and one by the State Treasurer.  Changes the appointing authority if the Governor and State Treasurer fail to submit nominees for appointments or vacancies to the Commission from the Lieutenant Governor to the President Pro Tempore of the Senate. Changes term of Commission chair from four years to three years.  Provides that General Assembly must fill vacancies in line with GS 120-122 (governing vacancies for General Assembly appointments.) Makes conforming changes. Removes outdated language.  

    Specifies that two commissioners appointed by the General Assembly, upon recommendation of the Speaker of the House and President Pro Tempore of the Senate will serve an initial four-year term starting on July 1, 2023, so that the number of commissioners is increased to nine.  After the four-year terms conclude, subsequent commissioners appointed to these seats will serve six-year terms. Designates appointment authorities for the commissioners whose terms are expiring. For the three commissioners whose terms are expiring June 30, 2023, one will be appointed by the Governor and the other two by the General Assembly, upon recommendation of the Speaker of the House and President Pro Tempore of the Senate each. For the three terms expiring June 30, 2025, two commissioners will be appointed by the Governor and one by the State Treasurer.  And for the term expiring June 30, 2027, one commissioner will be appointed by the Governor.

    Makes conforming changes to GS 143B-433 (organization of Department of Commerce) to remove the Commission.

    Part II

    Amends GS 143B-437.54 (establishing the Economic Investment Committee [Committee]) as follows. Increases the Committee membership to seven with the two additional members appointed by the General Assembly, upon recommendation of the Speaker of the House and President Pro Tempore of the Senate each. Deletes language barring members of the General Assembly from being members of the Committee. Specifies that members not appointed by the General Assembly will serve until they are no longer in office or are replaced with another designee.  

    Repeals GS 120-123(76) listing the Committee as one of the government boards or committee where members of the General Assembly may not serve. Makes other conforming changes.

    Part III

    Amends GS 143B-283, pertaining to the composition of the Environmental Management Commission (EMC), as follows.  Changes the appointing entity from the Governor to the Commissioner of Agriculture (Commissioner) for two commissioners.  Makes conforming changes to account for new appointing authorities. Makes technical changes.

    Amends GS 143B-284 (EMC officers) to have the chair elected by the members of the EMC, rather than designated by the Governor. Makes technical changes and language gender neutral.

    Part IV

    Amends GS 130A-30, pertaining to the composition of the Commission for Public Health (CPH) as follows. Changes the appointing authority for CPH members, by reducing the number of members appointed by the Governor from nine to five. Specifies that the General Assembly will appoint the remaining four members as follows: two upon recommendation of the Speaker of the House and two upon recommendation of the President Pro Tempore of the Senate. Removes the requirement that one of the Governor’s appointments be a registered engineer experienced in sanity engineering or a soil scientist. 

    Removes outdated language. Makes technical and conforming changes.

    Specifies that the General Assembly will appoint the successors of four members for those members previously appointed by the Governor whose terms are expiring on April 30, 2023.

    Part V

    Amends GS 143-350, pertaining to the Board of Transportation (Board), as follows. Deletes provisions pertaining to the membership of the Board (currently, 14 members are from one of the highway divisions with six at-large members, with the 14 division members appointed by the Governor and the at-large members appointed by the General Assembly). Deletes provisions for staggered terms. Replaces the membership as follows.  Specifies that the Board will consist of 20 voting members, 14 of whom will be appointed by the General Assembly, seven upon recommendation of the Speaker of the House and seven upon recommendation of the President Pro Tempore of the Senate. The Governor will now appoint six at-large voting members. Specifies that each highway division must have at least one voting member that is a resident of that highway division, however, no more than three voting members may reside in the same highway division. Designates the Secretary of Transportation as an ex officio nonvoting member of the Board. Provides that all terms will be for four years and will expire on June 30 of the year of expiration. Provides that the chair will be elected by members of the Board, rather than the Governor.  Sets schedule of appointing authorities for when terms expire as follows: (1) the General Assembly will appoint Highway Division 1, 3, 6, 9, 12, and 14 board members from the six division appointments expiring in 2024. Three of these appointments will be made by the Senate and three by the House; (2) the General Assembly will appoint Highway Division 2, 4, 5, 7, and 8 board members from the five at-large appointments expiring in 2024. Three of these appointments will be made by the Senate and two by the House; (3) the Governor will appoint six at-large board members from the eight division appointments expiring in 2026; (4) the General Assembly will appoint Highway Division 10, 11, and 13 board members from the remaining two division appointments expiring in 2026 and the one at-large appointment expiring in 2026. One of these appointments will be made by the Senate and two by the House.

    Part VI

    Amends GS 113A-104 to change the membership of the Coastal Resources Commission (GRC) as follows. Retains the same number of members but removes the three members who must have experience in land development, coast related business, and coastal agriculture, respectively and who are appointed by the Governor. Replaces those members with three members as follows: one member to be appointed by the Commissioner of Insurance with experience in land development and the other two at-large members to be appointed by the General Assembly, upon recommendation of the Speaker of the House and President Pro Tempore of the Senate each. Provides that the chair will be elected by members of the GRC, rather than the Governor. Makes conforming changes.  

    Specifies that the seat eliminated by the repeal of the seats specified above will be the member who was at the time of appointment a coastal property owner or experienced in land development and whose term expires on June 30, 2023.

    Part VII

    Amends GS 143-241, pertaining to the appointment and terms of office of members of the Wildlife Resources Commission (WRC) as follows. Increases the amount of appointees by the General Assembly to the WRC from eight to ten members, five upon recommendation of the Speaker of the House and five upon recommendation of the President Pro Tempore of the Senate.

    Reduces the amount of at-large members appointed by the Governor from two to one. Designates the Commissioner of Agriculture as appointment authority for that additional at-large seat. Makes conforming changes. Effective June 30, 2025.

    Part VIII

    Amends GS 124-15, pertaining to the membership of the NC Railroad Board of Directors (NCRBD) to reduce the number of members appointed by the Governor from seven to six, with the seventh member now appointed by the State Treasurer. Removes outdated language. Provides that the State Treasurer’s appointee will be one of the appointees with a term expiring in 2023. Permits the Board to determine which of those appointees will be replaced by the appointee of the State Treasurer. Effective on the date that revisions to the Articles of Incorporation of a State-owned railroad to implement the changes in appointing authority made by this section are enacted by the Board of Directors of the State-owned railroad and become effective. The railroad must report to the Revisor of Statutes the effective date of those changes.

    Part IX

    Amends GS 116-37, pertaining to the Board of Directors of the UNC Health System (UNC Health Board), to change the composition of the members of the UNC Health Board as follows following:

    • Four ex officio members who are:
    1. The President of The University of North Carolina or the President's designee.
    2. The Chief Executive Officer of the University of North Carolina Health Care System.
    3. The Chancellor of the University of North Carolina at Chapel Hill.
    4. The President of the University of North Carolina Hospitals. 

    (Currently eight ex-officio members from UNC which include those listed above, two of whom are faculty members and one of whom is an additional administrator designated by the chancellor, and the President of the UNC faculty physicians.)

    • Eight members at large appointed by the General Assembly as follows:
    1. One member appointed by the General Assembly upon recommendation of the Speaker of the House of Representatives annually.
    2. One member appointed by the General Assembly upon  recommendation of the President Pro Tempore of the Senate annually.
    • Twelve of the members at large must be appointed by the Board of Governors after consultation with the President of The University of North Carolina. The Board of Governors will appoint three members annually.

    (Currently sixteen at-large members, all serving four-year terms. Four of the members are appointed by the board of directors.)

    Removes outdated language. Makes conforming changes.

    Specifies that terms of office for all ex officio members of the board of  directors of the UNC Health Board repealed by this section will expire July 1, 2023. All at-large members of the board of directors of the UNC Health Board serving as of July 1, 2023, will remain in office until their current term of appointment expires. Any vacancy occurring in a seat appointed by the board of directors expiring October 31, 2024, will be filled by the General Assembly upon recommendation of the Speaker of the House of Representatives for the remainder of that term of office.

    Sets the following schedule for appointments made in 2023, notwithstanding the provisions set forth above relating to one-year terms:

    • For a term beginning July 1, 2023, and ending October 31, 2027, one member will be appointed by the General Assembly upon recommendation of the Speaker of the House of Representatives and one member will be appointed by the General Assembly upon recommendation of the President Pro Tempore of the Senate. Members appointed to fill those terms of office in 2027 will be appointed to four-year terms of office. These members will fill seats vacated by the prior ex officio members of the UNC Health Board.
    • For a term beginning July 1, 2023, and ending October 31, 2026, one member will be appointed by the General Assembly upon recommendation of the Speaker of the House of Representatives and one member will be appointed by the General Assembly upon recommendation of the President Pro Tempore of the Senate. Members appointed to fill those terms of office in 2026 will be appointed to four-year terms of office. These members will fill seats vacated by the prior ex officio members of the UNC Health Board.
    • For a term beginning October 1, 2023, and ending October 31, 2025, one  member will be appointed by the General Assembly upon recommendation of the President Pro Tempore of the Senate. The member appointed to fill that term of office in 2025 will be appointed to a four-year term of office. This member will fill a position expiring in 2023 held by a board of trustee appointment.
    • For a term beginning October 1, 2023, and ending October 31, 2024, one member will be appointed by the General Assembly upon  recommendation of the President Pro Tempore of the Senate. This member will fill a position expiring in 2023 held by a board of trustee appointment.
    • For a term beginning October 1, 2023, and ending October 31, 2025, one member will be appointed by the General Assembly upon recommendation of the Speaker of the House of Representatives. The member appointed to fill that term of office in 2025 will be appointed to a four-year term of office. This member will fill a position expiring in  2023 held by a board of trustee appointment.

    Sets the following schedule for appointments made in 2024:

    • Upon recommendation of the Speaker of the House of Representatives, appoint one member to the UNC Health Board for the expiring position held by the board of trustee appointment expiring in 2024. The member appointed to fill that term of office in 2024 will be appointed to a four-year term of office.
    • Upon recommendation of the President Pro Tempore of the Senate, appoint one member to the UNC Health Board for the expiring one-year term appointed by the General Assembly upon the recommendation of the President Pro Tempore in 2023. The member appointed to fill that term of office will be appointed to a four-year term of office.

    Notwithstanding the requirement for the Board of Governors to appoint three members annually, and length of terms, sets the following schedule for appointments made by the Board of Governors in 2023, 2024, 2025, and 2026:

    • No appointments will be made in 2023.
    • In 2024, the Board of Governors will appoint three members to terms ending October 31, 2028, and one member to a term ending October 31, 2027. Members appointed to fill those terms of office when expired will be appointed to four-year terms of office.
    • In 2025, the Board of Governors will appoint one member to a term of office ending October 31, 2029. The member appointed to fill that term of office when expired will be appointed to a four-year term of office.
    • In 2026, the Board of Governors will appoint three members to terms ending October 31, 2030, two members to terms of office ending October 31, 2029, and two members to terms of office ending October 31, 2027.
